Terms of Service
The rules that apply when you use The Tool Shed website, accounts, subscriptions, credits, and hosted SaaS tools.
Effective and last updated: August 24, 2026These Terms form an agreement between you and the operator of thetoolshed.work, doing business as The Tool Shed (“The Tool Shed,” “we,” or “us”). By creating an account, purchasing a plan or credit pack, or using a Tool Shed service, you agree to these Terms and the policies linked below. If you do not agree, do not use the services.
1. Eligibility and authority
You must be at least 18 years old and legally able to enter a contract to create a paid account. If you use the services for a business or organization, you represent that you are authorized to bind it to these Terms.
2. Accounts
Provide accurate information, keep your credentials secure, and promptly notify us of suspected unauthorized access. You are responsible for activity performed through your account. We may require email verification, limit abusive signups, or suspend access to protect the services and users.
3. Services and beta features
The Tool Shed provides software, content, automation, and AI-assisted creation tools. Features labeled beta, preview, paused, or experimental may be changed, limited, or discontinued and may produce incomplete or unexpected results. A saved project does not guarantee that a generation provider will accept or complete a request.
4. Your content and permissions
You retain your rights in content you submit. You give The Tool Shed and its service providers a limited license to host, copy, transmit, transform, and process that content only as reasonably needed to provide, secure, support, and improve the requested services or comply with law.
You represent that you have all rights and permissions needed for your inputs and requested uses. Do not submit personal, confidential, copyrighted, trademarked, biometric, or other protected material unless you are authorized to do so.
5. AI outputs
AI output may be inaccurate, incomplete, similar to output provided to others, or unsuitable for your intended use. You must review output before publishing or relying on it. We do not guarantee that output is unique, non-infringing, eligible for intellectual-property protection, or compliant with advertising, platform, disclosure, or industry rules.
6. Acceptable use
You must follow our Acceptable Use Policy. We may block a request, remove content, preserve evidence, or suspend or terminate access when reasonably necessary to address abuse, security, legal risk, or policy violations.
7. Subscriptions, trials, and credits
- Checkout displays the introductory charge or trial terms, renewal price, billing interval, included credits, and any applicable taxes before purchase.
- Subscriptions renew automatically until canceled. You authorize Stripe to charge the selected payment method for recurring fees and applicable taxes.
- You can update a payment method, view invoices, and cancel an eligible subscription from Account → Manage billing.
- Unless checkout says otherwise, cancellation takes effect at the end of the current billing period and access continues through that date.
- Credits are service units, not currency. They are nontransferable, have no cash value, and may only be used with the applicable Tool Shed service.
- We may correct a credit balance affected by a duplicate grant, refund, chargeback, abuse, technical error, or failed generation reconciliation.
See the Refund & Cancellation Policy for additional terms.
8. Taxes
Prices exclude taxes unless checkout states otherwise. You are responsible for taxes, duties, or similar charges associated with your purchase, except taxes based on our net income. Stripe may calculate or collect tax information where configured.
9. Third-party services
The services depend on third parties such as hosting, authentication, payment, email, automation, analytics, and AI providers. Their services may be subject to separate terms. We are not responsible for external websites or a third party’s independent acts, but we remain responsible for our obligations under applicable law.
10. Intellectual property
The Tool Shed services, branding, site design, software, and original content are owned by The Tool Shed or its licensors and are protected by law. These Terms do not grant you ownership of the service or permission to copy, resell, reverse engineer, or misuse it except where applicable law does not allow that restriction.
11. Suspension and termination
You may stop using the services at any time. We may suspend or terminate access for material breach, nonpayment, fraud, abuse, security risk, legal requirements, or discontinued services. Where practical, we will provide notice and a reasonable opportunity to export content. Sections that by their nature should survive termination will survive.
12. Disclaimers
To the maximum extent permitted by law, the services are provided “as is” and “as available.” We disclaim implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant uninterrupted operation, particular business results, or that AI output will be accurate or legally usable.
13. Limitation of liability
To the maximum extent permitted by law, The Tool Shed will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or lost profits, revenue, data, goodwill, or business opportunities. Our aggregate liability arising from the services will not exceed the greater of $100 or the amount you paid The Tool Shed for the applicable service during the 12 months before the event giving rise to the claim. These limits do not apply where prohibited by law.
14. Indemnification
To the extent permitted by law, you will defend and indemnify The Tool Shed from third-party claims, losses, and reasonable costs arising from your content, your unlawful or unauthorized use, or your material breach of these Terms.
15. Governing law
These Terms are governed by the laws of the State of Florida, without regard to conflict-of-law rules, except where mandatory consumer law requires otherwise. Before filing a claim, each party agrees to make a good-faith effort to resolve it by contacting the other.
16. Intellectual-property complaints
If you believe material processed through a Tool Shed service infringes your rights, email hello@thetoolshed.work. Identify the protected work, the material or project involved, your contact information, and the basis for your claim. We may request verification, preserve relevant records, remove or restrict material, and notify the affected account holder where appropriate.
17. Electronic communications
You agree that account, security, billing, cancellation, policy, and other service notices may be provided electronically to the email associated with your account or through the service. Keep that address current. Marketing messages, if offered, will use separate choices where required.
18. Changes and contact
We may update these Terms as the services or law changes. Material changes will be identified by a new effective date and, when appropriate, account or email notice. Continued use after the effective date constitutes acceptance where permitted by law.
